EdCounselor Terms of Service

Welcome to EdCounselor (the “Site”), operated by EdCounselor, LLC, a California limited liability company (“EdCounselor,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Site, applications, software, tools, features, content, and services provided by EdCounselor (collectively, the “Services”).


BY CLICKING “I AGREE,” CREATING AN ACCOUNT, ACCESSING, VISITING, BROWSING, OR OTHERWISE USING OR ATTEMPTING TO INTERACT WITH THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED INTO THESE TERMS BY REFERENCE.


IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

1. Eligibility and Acceptance

You represent and warrant that the information you provide to EdCounselor is truthful, accurate, and current.


Users under eighteen (18) years of age may use the Services only with the consent and supervision of a parent or legal guardian. By permitting a minor to access or use the Services, the parent or legal guardian acknowledges and agrees to these Terms on behalf of the minor and accepts responsibility for the minor's use of the Services.


If you are a parent or legal guardian accepting these Terms on behalf of a minor, you represent that you have the legal authority to provide such consent. EdCounselor may require verification of parental or guardian consent where required by applicable law.

2. Description of Services

EdCounselor provides educational and college-planning tools and related services designed to assist students and families with educational planning, school research, admissions preparation, organization, and related activities.


The Services may include, without limitation:


EdCounselor may modify, add, suspend, or discontinue any feature or portion of the Services at any time.

3. Accounts and Account Security

Certain features of the Services may require you to create or maintain an account. By creating an account, you represent, warrant, and certify that all information you provide to EdCounselor is true, accurate, complete, and current to the best of your knowledge and that you will promptly update such information if it changes.


You agree to:

  1. provide accurate, complete, and current information when creating or maintaining your account;
  2. promptly update your account information to ensure that it remains accurate, complete, and current;
  3. maintain the confidentiality and security of your login credentials;
  4. not share, transfer, or otherwise permit unauthorized persons to access or use your account or login credentials;
  5. promptly notify EdCounselor of any unauthorized access to or use of your account, or any actual or suspected security breach; and
  6. remain responsible for activity occurring through your account, except to the extent that applicable law provides otherwise.

You may not create or use an account under another person's identity or using another person's information without appropriate authorization. You may not impersonate any person or entity, misrepresent your identity or affiliation, or create an account on behalf of another person without appropriate authorization.


Certification of Account Information.
By creating or maintaining an account, you expressly certify that the information you provide is truthful, accurate, complete, and current. You acknowledge that EdCounselor may reasonably rely upon the information you provide in administering your account and providing the Services.


If you knowingly or materially provide false, misleading, incomplete, or fraudulent information, such conduct constitutes a material violation of these Terms and may result in suspension, restriction, or termination of your account, denial or limitation of access to the Services, and any other remedies available to EdCounselor under these Terms or applicable law.


To the maximum extent permitted by applicable law, you agree that you will not assert a claim against EdCounselor based upon information, representations, or circumstances that you knowingly and materially misrepresented to EdCounselor, and EdCounselor reserves all rights and remedies arising from such misrepresentation. Nothing in this provision is intended to waive, release, or limit any right or claim that cannot lawfully be waived, released, or limited under applicable law.


Account Security.
You are responsible for taking reasonable measures to protect your account credentials and for promptly reporting any suspected unauthorized access or security incident. EdCounselor is not responsible for unauthorized activity resulting from your failure to maintain the confidentiality or security of your credentials, except to the extent caused by EdCounselor's own acts or omissions or otherwise required by applicable law.


EdCounselor reserves the right, in its sole discretion and to the maximum extent permitted by applicable law, to suspend, restrict, disable, or terminate any account or access to the Services if EdCounselor reasonably believes that the account or its use violates these Terms, involves inaccurate or fraudulent information, creates a security, legal, or safety risk, or may expose EdCounselor or others to liability or harm.

4. Minors and Student Safety

Because minors may use the Services, users must interact with the Services in a lawful, respectful, and age-appropriate manner.


You may not use the Services to:

If you believe that a user is engaging in conduct that creates a safety, abuse, exploitation, privacy, or security concern, you should report the concern to EdCounselor using the contact information provided below.

5. AI-Powered Services

Certain features of the Services may use artificial intelligence, machine learning, large language models, automated systems, or third-party AI technologies (“AI Features”).


AI Features may generate recommendations, summaries, explanations, suggestions, or other content based on information provided to or collected through the Services. AI-generated content may be inaccurate, incomplete, outdated, biased, or otherwise unsuitable for your particular circumstances. AI Features are provided for informational and educational purposes only. They should not be relied upon as a substitute for professional legal, financial, educational, medical, or other professional advice, as applicable.


AI Training and Use of Data.
As of the effective date of these Terms, EdCounselor does not use User Data, including information submitted by users through the Services, to train, develop, or improve its artificial intelligence or machine learning models. EdCounselor may, however, use data as necessary to provide, operate, maintain, secure, troubleshoot, and improve the Services, and may use de-identified, aggregated, or otherwise anonymized information for purposes permitted by applicable law and the Privacy Policy.


AI Features may rely on third-party technologies, models, application programming interfaces, or service providers. Accordingly, information submitted to or processed through certain AI Features may be transmitted to or processed by third-party service providers as necessary to provide the applicable feature. Such processing is subject to applicable contractual requirements, the Privacy Policy, and any disclosures presented to you at the time of use.


You acknowledge that AI-generated content is produced through automated systems and that EdCounselor does not guarantee the accuracy, completeness, reliability, availability, or suitability of any AI-generated output. You are responsible for independently reviewing and verifying AI-generated content before relying upon, acting upon, sharing, or submitting such content.


You agree not to use AI Features for any unlawful purpose or in a manner that violates these Terms or applicable law. EdCounselor reserves the right to modify, suspend, restrict, or discontinue any AI Feature at any time.


5.1 AI Outputs Are Assistive

AI-generated content provided through the Services is intended solely for informational and educational purposes and is not a substitute for professional advice, independent judgment, or verification. AI outputs may be incomplete, inaccurate, outdated, misleading, or inappropriate for a particular situation.


You are responsible for independently reviewing, verifying, and evaluating any AI-generated content before relying on it or taking any action based on such content. EdCounselor does not guarantee the accuracy, completeness, reliability, timeliness, or suitability of any AI-generated output.

5.2 Age and Parental Consent

The Services are available only to individuals 14 years of age or older. If you are registering as a student between the ages of 14 and 18, you may access or use the Services only with the consent and involvement of a parent or legal guardian.


A parent or legal guardian must initiate or authorize the student's registration by inviting the student to register for the Services. The parent or legal guardian must also review and agree to these Terms of Service on behalf of themselves and, where applicable, the student before the student may register for or access the Services.


By inviting a student to register for the Services and agreeing to these Terms of Service, the parent or legal guardian represents and warrants that they have the legal authority to provide such consent and authorize the student's use of the Services.


EdCounselor reserves the right to refuse, suspend, or terminate an account if it reasonably believes that the applicable age or parental-consent requirements have not been satisfied.

5.3 No Professional Advice

The Services and AI Features do not constitute legal, financial, medical, mental-health, educational-advisory, or other professional advice unless expressly stated otherwise in writing by an appropriately qualified professional.


EdCounselor does not act as your attorney, admissions officer, school counselor, financial advisor, or other professional solely by providing access to the Services.

5.4 Admissions Outcomes

EdCounselor does not guarantee admission, acceptance, scholarship awards, financial aid, enrollment, or any particular educational outcome.


Educational institutions make admissions decisions independently, and they may depend on factors outside EdCounselor's control.


Recommendations or information provided through the Services should not be interpreted as a promise or prediction of admission or other educational outcomes.

5.5 Third-Party AI Providers

Certain AI Features may rely upon third-party technologies or service providers. Use of those features may therefore be subject to additional terms, policies, or technical limitations applicable to those providers.

6. User Content and Information

The Services may allow users to submit, upload, enter, store, or otherwise provide information, documents, responses, essays, academic information, educational records, preferences, or other materials (“User Content”).

6.1 Ownership of User Content

You retain ownership of your User Content. EdCounselor does not claim ownership of your User Content merely because you submit, upload, enter, store, or otherwise provide it through the Services.


However, EdCounselor requires certain rights to User Content in order to provide and operate the Services.

6.2 License to Process User Content

You grant EdCounselor a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, modify as technically necessary, display, and otherwise use your User Content solely as reasonably necessary to:

6.3 Third-Party Service Providers

EdCounselor may use third-party service providers to provide infrastructure, hosting, storage, security, analytics, artificial intelligence, large language model, communications, and other services necessary to operate and provide the Services.


To the extent necessary to provide the applicable Services or features, EdCounselor may disclose or transmit User Content to such service providers for processing on EdCounselor's behalf.


For example, User Content may be stored using third-party cloud infrastructure providers and may be transmitted to third-party artificial intelligence or large language model providers when necessary to provide AI-powered recommendations or other requested features.


The categories of third parties that may receive or process information, the purposes for such processing, and additional information regarding EdCounselor's data-sharing practices are described in the Privacy Policy.

6.4 User Responsibilities

You represent and warrant that:

EdCounselor does not claim ownership of a student's academic records, educational records, transcripts, essays, or other materials merely because those materials are submitted to or processed through the Services.


EdCounselor may nevertheless collect, store, process, analyze, and transmit such information as reasonably necessary to provide the Services and as otherwise described in these Terms and the Privacy Policy.

6.6 Deletion and Retention

Subject to applicable law and EdCounselor's legitimate business and legal obligations, User Content may be deleted upon account termination or pursuant to applicable deletion requests, as described in the Privacy Policy.


EdCounselor may retain certain information where reasonably necessary to comply with legal obligations, resolve disputes, enforce agreements, maintain security, prevent fraud or abuse, or maintain secure backups for a limited period.

7. Academic Integrity and Prohibited Conduct

You may not use the Services to engage in unlawful, fraudulent, abusive, deceptive, or harmful activity.


Without limiting the foregoing, you may not:

8. Authorized Communications

Where EdCounselor provides communication features, users must use communication channels authorized or provided by EdCounselor.


Users may not use the Services to solicit another user to move communications to unauthorized channels for purposes that violate these Terms or applicable law.


Where a feature involves communications between adults and minors, users must maintain appropriate professional and personal boundaries and comply with applicable safety requirements.

9. Intellectual Property

You acknowledge that the Services, including the Site, software, source code, functionality, designs, graphics, text, images, trademarks, logos, databases, interfaces, and other materials, contain proprietary information owned by EdCounselor or its licensors and are protected by applicable intellectual property laws.


Except for the limited right to use the Services as expressly permitted under these Terms, no ownership interest or other intellectual property right is transferred to you.


EdCounselor grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your personal, non-commercial educational use, subject to these Terms.


You may not modify, reproduce, distribute, sell, license, lease, rent, publicly display, publicly perform, create derivative works from, or otherwise exploit the Services without EdCounselor's prior written authorization.


Trademarks. EdCounselor names, logos, trademarks, service marks, and trade dress are owned by EdCounselor or its licensors. You may not use them without prior written permission.

10. Third-Party Services and Websites

The Services may contain links to or integrations with third-party websites, applications, platforms, payment processors, AI providers, educational institutions, or other services.


EdCounselor does not control and is not responsible for third-party services, content, policies, security, availability, or practices.


Your use of third-party services may be subject to separate terms and privacy policies. You are responsible for reviewing those terms and policies before using the applicable third-party service.

11. Privacy

Your use of the Services is also governed by the EdCounselor Privacy Policy, which describes how EdCounselor collects, uses, discloses, retains, and protects personal and educational information.


The Privacy Policy is incorporated into these Terms by reference.

12. Service Availability and Modifications

The Services are provided on an “AS IS” and “AS AVAILABLE” basis.


EdCounselor does not guarantee that:



EdCounselor may modify, suspend, restrict, or discontinue any portion of the Services at any time, including features, content, functionality, or availability.


13. Suspension and Termination

EdCounselor may suspend or terminate your access to all or part of the Services, with or without notice, if:



You may stop using the Services at any time.


Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law—will survive termination.

14. Cancellation

You may cancel your subscription to the Services at any time. Cancellation will take effect at the end of your then-current subscription period. You will continue to have access to the Services through the end of that period, and no further subscription charges will be made after cancellation takes effect, unless you resubscribe.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT, INFORMATION, FEATURES, AI OUTPUTS, RECOMMENDATIONS, AND MATERIALS PROVIDED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”


EDCOUNSELOR DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND AVAILABILITY.


EDCOUNSELOR DOES NOT WARRANT THAT THE SERVICES OR ANY INFORMATION PROVIDED THROUGH THE SERVICES WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, ERROR-FREE, SECURE, OR SUITABLE FOR YOUR PARTICULAR PURPOSE.


NOTHING IN THESE TERMS DISCLAIMS OR LIMITS ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED UNDER APPLICABLE LAW.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDCOUNSELOR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, AFFILIATES, AND CONTENT PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER SIMILAR DAMAGES ARISING OUT OF OR RELATING TO:


TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDCOUNSELOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO EDCOUNSELOR FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).


Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless EdCounselor and its subsidiaries, affiliates, licensors, content providers, service providers, employees, agents, officers, directors, contractors, and representatives from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

If you believe that material available through the Services infringes your copyright or other intellectual property rights, you may submit a notice to EdCounselor's designated Copyright Agent containing the information required by applicable law.

EdCounselor may remove or restrict access to allegedly infringing material and may terminate repeat infringers where appropriate.

19. Changes to These Terms

EdCounselor may modify these Terms from time to time.

When we make material changes, we may provide notice through the Services, by email, or by another reasonable method, as appropriate.


The revised Terms will identify an updated “Last Updated” date and will become effective on the effective date stated in the revised Terms.


Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.


If you do not agree to the revised Terms, you must stop using the Services.

20. Dispute Resolution and Arbitration

Except where prohibited by applicable law or where a claim qualifies for resolution in small claims court, you and EdCounselor agree that disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration rather than in court.


The arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable AAA rules, including the Consumer Arbitration Rules where applicable.


The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.


The arbitration will take place in Los Angeles County, California unless otherwise required by applicable law or agreed by the parties.


Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. YOU AND EDCOUNSELOR WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, MASS, OR REPRESENTATIVE ACTION.


Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND EDCOUNSELOR WAIVE ANY RIGHT TO A TRIAL BY JURY FOR CLAIMS SUBJECT TO ARBITRATION.

21. Governing Law and Venue

Except as otherwise required by the Federal Arbitration Act, California law governs these Terms without regard to conflict-of-law principles.


To the extent a dispute is permitted to proceed in court, the parties agree that the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction and venue, except where applicable law requires otherwise.
